General Terms and Conditions of Sale

Hereinafter, “Tirolix” or the “Seller”.

2. Scope of application and customers

These General Terms and Conditions of Sale govern the use of www.tirolix.shop, orders placed through the website, quotations, order confirmations and commercial supplies concluded with Tirolix, unless otherwise agreed in writing.

These terms apply to professional customers, including sole traders, companies, professionals, associations, public or private bodies and organisations, as well as private customers purchasing for purposes outside their business, trade, craft or profession.

A private customer acting for purposes outside their professional activity is a consumer and benefits from the mandatory rights provided for by applicable law. Professional customers are subject to the provisions specifically set out in these terms, quotations and order confirmations.

By submitting an order, accepting a quotation or confirming a supply, the customer accepts these terms in the version in force on the relevant date.

Tirolix may update these terms for legal, technical, organisational or commercial reasons. Changes do not affect orders already confirmed, unless they are required by law or expressly accepted by the customer.

3. Products, information and responsibility for product selection

Tirolix makes every effort to provide product information as accurately as possible. However, descriptions, technical features, dimensions, capacities, weights, images, colours, accessories and packaging are indicative, unless expressly guaranteed in writing.

Images may differ from the actual product due to lighting, screen display, device settings, ordinary production tolerances or changes made by the manufacturer.

Before placing an order, the customer is responsible for checking that the product is suitable for its intended use, compatible with the customer’s equipment, compliant with the required dimensions and appropriate for the intended conditions of use.

In particular, the customer must carefully check:

  • dimensions, capacities, diameters, heights and thicknesses;
  • material, finish, colour and technical characteristics;
  • compatibility with machinery, accessories, dishwashers, heat sources or other products;
  • quantities, sales units and pack composition;
  • any legal or technical requirements necessary for the intended use.

Tirolix shall not be liable for purchases made by the customer on the basis of dimensions, characteristics or quantities unsuitable for the customer’s needs where this information was available in the product sheet, quotation, order confirmation or was communicated before the order was concluded.

If the customer requires technical confirmation, an exact measurement, a declaration of conformity, a technical data sheet or other documentation, the customer must request it from Tirolix before placing the order.

4. Quotations, orders and conclusion of the contract

Quotations issued by Tirolix constitute a commercial offer and are valid only for the period, if any, stated in the quotation itself.

Before accepting or submitting an order, the customer must carefully check the quotation, order summary, products, quantities, prices, VAT, additional charges, delivery address and billing details.

Submission of an order through the website, email, telephone, message or any other channel does not automatically constitute acceptance by Tirolix.

The contract is concluded exclusively when Tirolix sends written order confirmation or starts fulfilling the supply. Mere receipt of an order, payment or quotation request does not constitute order confirmation.

Tirolix may refuse or amend an order after informing the customer where a product is unavailable, there is a manifest pricing or description error, the manufacturer has made changes, performance is technically impossible, payment cannot be verified, details are incomplete or other circumstances prevent proper performance of the supply.

Any request to amend or cancel an order must be sent promptly to [email protected]. Tirolix will assess the request on the basis of the processing stage, product availability, any personalisation and costs already incurred.

5. Product availability

Availability shown on the website, provided verbally or stated in quotations is for information purposes only and may change until the order is confirmed.

Some products may be available in Tirolix warehouses; others may be subject to restocking, production, importation or supplier availability.

If a product is unavailable after receipt of the order, Tirolix will inform the customer and may, where possible, offer an alternative item, a new delivery date, a partial supply or cancellation of the unavailable product.

No replacement will be made without the customer’s agreement, unless it has been authorised in writing beforehand.

6. Prices, VAT and additional charges

The applicable prices are those stated on the website, in the quotation or in the order confirmation at the time the contract is concluded.

Prices published on tirolix.shop may vary depending on the customer category, professional customer or consumer. VAT is always shown and the stated final price includes the applicable VAT.

The customer must verify the final price before confirming the order.

Any costs for shipping, packaging, insurance, personalisation, set-up, printing, clichés, customs duties, customs charges or other additional charges are stated separately in the order summary, quotation or order confirmation, where applicable.

Unless otherwise agreed in writing, transport costs are not included in the price of the products.

Tirolix may change prices at any time. Such changes do not apply to orders already confirmed, except in the event of a manifest error, mandatory tax change or circumstances expressly set out in the order confirmation.

7. Payments and invoicing

Available payment methods are those indicated on the website, in the quotation or in the order confirmation.

Unless otherwise agreed in writing, fulfilment of the supply starts after receipt and verification of advance payment.

In the event of non-payment, partial payment, unauthorised payment, chargeback, non-payment of a due amount or late payment, Tirolix may suspend processing, dispatch or delivery until the position is settled.

The customer is responsible for the accuracy and completeness of billing details provided to Tirolix, including company name, address, tax code, VAT number, recipient code and PEC, where required.

Tirolix issues an invoice or other tax document in accordance with applicable law and on the basis of the details received from the customer. Requests for correction must be made promptly; Tirolix cannot guarantee that tax documents already issued can be amended, except where and to the extent permitted by law.

8. Shipping, delivery and delays

Delivery is made to the address stated by the customer in the order or order confirmation. The customer is responsible for the accuracy, completeness and accessibility of the delivery address and for ensuring that a person authorised to receive the goods is present.

Delivery times communicated by Tirolix are indicative, unless expressly stated in writing as binding.

Delivery times may vary according to product availability, production, personalisation, restocking, destination, carrier, customs procedures and events not attributable to Tirolix.

Tirolix shall not be liable for delays attributable to the carrier, manufacturer, supplier, authorities, customs procedures, strikes, weather conditions, transport interruptions, force majeure or other circumstances beyond Tirolix’s reasonable control.

If the customer refuses delivery without valid reason, is absent, provides an incorrect address or fails to cooperate with procedures required for delivery, Tirolix may charge storage, re-delivery, return transport, new shipment and any other costs actually incurred.

Collection from Tirolix’s registered office or warehouse is possible only after Tirolix’s written confirmation.

9. Inspection of goods and transport damage

Upon delivery, the customer or the person appointed to collect the goods must carefully verify:

  • the number of packages received;
  • the integrity of the packaging;
  • the absence of tampering, moisture, crushing, breakages or other visible damage;
  • the correspondence between the goods received and the transport document.

Where visible damage or anomalies are present, the customer must immediately report them to the carrier and write a specific written reservation on the delivery document. Generic wording such as “subject to inspection” may not be sufficient to open a claim with the carrier.

The customer must also send Tirolix a complete report to [email protected] within 48 hours of delivery, enclosing photographs of the external packaging, the inside of the package, the damage found, the shipping label and the delivery document.

Timely reporting allows Tirolix to verify the issue and, where necessary, initiate the procedure with the carrier.

Failure to report damage on delivery or delay in reporting it may make the transport claim impossible or more difficult to manage. Mandatory consumer rights remain unaffected.

10. Personalised and made-to-order products

At the customer’s request, Tirolix may offer products personalised with logos, text, images, trademarks, engravings, prints, colours, dimensions, packaging or other specific processing.

Before production begins, Tirolix may require written approval of the quotation, artwork, proof, sample, colour, logo position, quantity and technical characteristics.

The customer is responsible for the final review of the proof and approval of the personalisation. After written approval, Tirolix shall not be liable for errors in the artwork, text, logo, dimensions, colours or instructions approved by the customer.

The customer warrants that it holds all rights necessary to use the logos, trademarks, images, text and other materials supplied to Tirolix. The customer assumes all responsibility for infringements of third-party rights and shall indemnify Tirolix against claims, demands, damages or costs arising from the use of such materials.

Personalisation is subject to technical feasibility, availability of materials, production tolerances and final approval by Tirolix and the manufacturer.

Delivered quantities may be subject to a tolerance of up to ±10% where this is provided for or necessary for the production process and is stated in the quotation, order confirmation or relevant commercial offer.

Personalised, made-to-measure or specifically ordered products may not be cancelled, amended, returned or replaced after production or procurement has started, except in the event of an error attributable to Tirolix, lack of conformity or processing different from that expressly approved.

For consumer customers, the right of withdrawal does not apply to goods made to the consumer’s specifications or clearly personalised, where provided for by applicable law.

11. Promotional programmes, points, rewards, coupons and cashback

Tirolix may offer promotions, loyalty programmes, points schemes, rewards, discount codes, coupons, gifts, cashback, referral campaigns and other commercial benefits.

The specific terms of each initiative, including eligibility requirements, duration, thresholds, excluded products, methods of use, possible combination with other offers, expiry dates and limitations, are those published on the website, communicated to the customer or indicated in the relevant promotion.

Unless expressly stated otherwise, points, rewards, coupons, discount codes, cashback and other benefits:

  • are personal and non-transferable;
  • cannot be converted into cash;
  • cannot be sold, assigned or exchanged;
  • cannot be combined with other promotions;
  • must be used within the stated validity period, if any;
  • cannot be applied retrospectively to orders already confirmed;
  • do not give rise to a cash refund if not used.

Before confirming the order, the customer must check that the coupon or benefit has been correctly applied in the cart or order summary.

In the event of cancellation, full or partial refund of an order, return or non-payment, Tirolix may cancel or proportionally reduce the points, cashback, reward or benefit accrued in relation to the relevant order.

Tirolix may amend, suspend or terminate a promotional programme, while respecting benefits already accrued and validly usable in accordance with the conditions communicated to the customer.

Complete and up-to-date information regarding the loyalty programme, points scheme, rewards, coupons, referrals and cashback is published on a page accessible to customers within the website and in the dedicated Tirolix Programme area. The relevant conditions are made available to ensure maximum transparency.

12. Withdrawal, returns and refunds

The terms concerning the right of withdrawal, returns, replacements, refunds and excluded products are set out on the separate “Returns and Warranties” page, which forms an integral part of these General Terms and Conditions of Sale.

For professional customers, returns are accepted only with Tirolix’s prior written authorisation and in accordance with the conditions set out on the dedicated page or in the order confirmation.

Unless there is a defect or an error attributable to Tirolix, personalised, made-to-measure, used, washed, customer-damaged, inadequately packaged for resale or no longer saleable for hygiene or safety reasons products may not be returned.

Statutory withdrawal rights and exceptions for consumer customers remain unaffected.

13. Warranty and complaints

Tirolix warrants the products within the limits and according to the procedures provided for by applicable law.

Consumers benefit from the statutory legal guarantee of conformity. For professional customers, the applicable rules on sale and warranty and any specific manufacturer’s conditions apply.

A customer who considers that they have received a defective, non-conforming or incorrect quantity of product must send a report to [email protected], stating:

  • the order or invoice number;
  • the product code and description;
  • the quantity concerned;
  • a clear description of the issue;
  • photographs or videos, where useful for verification;
  • a copy of the transport document, where the issue concerns delivery.

The customer must not return any product without Tirolix’s prior written authorisation.

Tirolix will assess the complaint and may request further information, photographs, samples, collection of the goods or verification by the manufacturer. Any applicable remedy will be determined according to the nature of the issue, applicable law and the circumstances of the case.

14. Limitation of liability

Tirolix shall not be liable for indirect damages, loss of profit, loss of production, loss of data, business interruption, reputational damage or other indirect consequences arising from the use of, or inability to use, the products, except in cases of wilful misconduct, gross negligence or other liability that cannot be excluded by law.

Tirolix’s liability may not in any event be excluded or limited where mandatory legal rights of the consumer apply.

The customer is responsible for the correct use, storage, maintenance, installation and operation of products in accordance with the manufacturer’s instructions, safety rules and intended use.

15. Intellectual property

All content on the website, including without limitation text, images, photographs, catalogues, logos, trademarks, graphics, product sheets, videos, layouts, documents and databases, is owned by Tirolix or the respective rights holders and is protected by applicable intellectual and industrial property laws.

Any reproduction, distribution, modification, commercial use, publication or dissemination of the website content without prior written authorisation from Tirolix or the relevant rights holder is prohibited.

16. Privacy and cookies

Customers’ personal data are processed by Tirolix in accordance with applicable personal data protection laws.

Information on the purposes, methods and data subject rights is available in the Privacy Policy and Cookie Policy published on the website.

17. Communications

Communications concerning orders, quotations, shipping, complaints, returns and assistance must be sent to:

The customer is responsible for providing a valid email address and checking all communications received, including those sent to the address provided during ordering or registration.

18. Applicable law and jurisdiction

These General Terms and Conditions of Sale are governed by Italian law.

For disputes with consumers, the court of the consumer’s place of residence or domicile shall have jurisdiction where required by applicable law.

For any dispute with professional customers, the Court of Bolzano shall have exclusive jurisdiction, subject to any mandatory provisions of law.

19. Final provisions

The possible nullity, invalidity or ineffectiveness of any individual provision of these terms shall not result in the nullity, invalidity or ineffectiveness of the remaining provisions.

Any failure by Tirolix to exercise a right under these terms shall not constitute a waiver of that right.

These terms, together with the quotation, order confirmation, any specific terms of sale and the pages referred to herein, constitute the agreement applicable between Tirolix and the customer for the relevant supply.
